Healthness+ Enterprise provides workforce health intelligence services to corporate clients, including: a Digital Health Risk Assessment (HRA) made available to the Client's employees; AI-assisted analysis with clinical medical review; personalised employee roadmaps and coaching; and aggregate, anonymised reporting delivered via HR, CEO, insurance, and department-level dashboards.
Healthness+ Enterprise is a preventive workforce wellness intelligence platform, not a medical, diagnostic, or treatment service. Nothing on this platform, including any HRA report, dashboard, or coach communication, constitutes a medical diagnosis or prescription for any employee. The Client acknowledges that Healthness+ coaches and medical reviewers provide lifestyle and wellness guidance to individual employees; they do not replace an employee's treating physician, and the Client remains solely responsible for any workplace health and safety obligations that fall outside the scope of this platform.
The Client is solely responsible for:
Employee enrollment is voluntary and opt-in. Each employee completes the HRA on their own initiative, based on their own responses; Healthness+ does not verify the medical accuracy of self-reported answers. Enrollment only occurs, and billing only accrues, once an employee has actually completed the HRA, the Client is never billed for roster entries that never take up the assessment.

Certain features of the platform, including the Freya clinical coaching assistant and blood work analysis, are powered by AI language model (LLM) services. Where we engage an LLM provider, we do so only if: (a) a formal Data Processing Agreement is in place with that provider; (b) the provider explicitly warrants that data will not be used to train, fine-tune, or improve their models; and (c) data is deleted after inference. We may engage any LLM provider from the market that meets these criteria. For blood work analysis specifically, explicit consent is obtained from the individual employee in their client dashboard before any blood work data is submitted to an AI system. Current providers are listed in our Privacy Policy, Section 6.
Aggregate, anonymised workforce data made available to the Client through its dashboards is licensed to the Client for its own internal HR, leadership, and insurance-renewal purposes only, and may not be resold, sublicensed, or redistributed outside the Client's organisation without our written consent. Individual employee health data is never disclosed to the Client, see our Privacy Policy for the full data-handling commitment.
All content, methodology, scoring models, questionnaire design, dashboard design, and underlying software made available through this platform are the exclusive property of Zadok Ventures India Pvt Ltd and are protected under Indian copyright and intellectual property law. Nothing in these Terms transfers ownership of any Healthness+ intellectual property to the Client; the Client receives a limited, non-exclusive right to use the platform for the duration of its engagement only.
To the fullest extent permitted under Indian law, Healthness+, its coaches, medical reviewers, and employees shall not be liable for any indirect, incidental, special, or consequential damages arising from the Client's or its employees' use of the platform, including any health outcome resulting from an employee's own choices, actions, or failure to follow coaching recommendations. Our total aggregate liability for any claim arising from this engagement shall not exceed the total fees paid by the Client in the 12 months preceding the claim.
The Client agrees to indemnify and hold Healthness+ harmless from any claim, loss, or liability arising from the Client's breach of Section 3 (Client Responsibilities), including any claim brought by an employee alleging inadequate notice or consent was given by the Client prior to roster upload.
We may suspend or terminate a Client's access to the platform, without refund of amounts already accrued for the current term, if the Client breaches these Terms, provides fraudulent roster information, fails to make payment within the cure period described in Section 5, or misuses the platform in a manner that risks employee data security.
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.
We may update these Terms from time to time to reflect changes in our services or applicable law. Material changes affecting an active engagement will be communicated to the Client's authorised contact in advance of taking effect. The effective date above always reflects the latest version; continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
